Constitution: ARTICLE I NAME The name of this organization shall be The Maryland Council of Teachers of Mathematics, hereafter referred to as MCTM.
ARTICLE II PURPOSE/MISSION The purposes of MCTM are: 1. To encourage an active interest in mathematics and its teaching, and to work toward the improvement of mathematics education programs in Maryland. 2. To facilitate the exchange of ideas and facts about current problems, techniques, and experimental programs in the teaching of mathematics by providing such resources as conferences, meetings, newsletter, journal, research studies, and information services. 3. To encourage and assist other state and national organizations concerned with mathematics education at all levels.
ARTICLE III AFFILIATION MCTM shall be affiliated with The National Council of Teachers of Mathematics, hereafter referred to as NCTM. MCTM may also affiliate with other professional organizations.
ARTICLE IV MEMBERSHIP SECTION 1: ELIGIBILITY Membership shall be open to any person or institution subscribing to the purposes of MCTM.
SECTION 2: MEMBERS 1. Regular Member: Persons qualified to be Regular Members are those who subscribe to the purposes of MCTM. 2. Student Member: Persons qualified to be Student Members are those who have not taught professionally and who are enrolled in a teacher education program in the State of Maryland. 3. Life Member: Persons may be Life Members by subscribing to the purposes of MCTM and by paying dues for Life Membership as set by the Board of Directors. 4. Distinguished Life Member: Distinguished Life Members are those persons who have received the Outstanding Mathematics Teacher Award, the Outstanding Teacher of Mathematics Award or the Outstanding Mathematics Educator Award from MCTM. 5. Senior Citizen Member: Persons qualified to be Senior Citizen Members are those who have retired from the teaching profession, and who have either been involved in mathematics education for a minimum of twenty years or have reached the age of sixty. Senior Citizen Members shall be entitled to all rights and benefits afforded Regular Members. 6. Institutional Member: Any school or organization is eligible for Institutional Membership. Such membership will be for informational purposes only and will not involved holding office or voting rights.
SECTION 3. VOTING Every Regular Member, every Life Member, every Distinguished Life Member, and every Senior Citizen Member shall be entitled to vote on any matter that comes before the general membership.
SECTION 4: DUES The amount of the dues for all members shall be set by the Board of Directors.
ARTICLE V REGIONS SECTION 1: REGIONAL DIVISIONS In order that all educational institutions of Maryland may be served by MCTM, the State of Maryland shall be divided into four (4) regions: Eastern Region, Central Region, Western Region, and Southern Region.
SECTION 2: REGIONAL REPRESENTATION Each region shall have a Regional Representative, elected by the voting membership of MCTM.
ARTICLE VI GENERAL MEETING SECTION 1: TIME AND PLACE 1. There will be one general meeting of MCTM each year at the time and place of the Annual Conference. 2. In case of need or desirability, the President may, with the advice and consent of the Board of Directors, call a special general meeting of MCTM.
SECTION 2: QUORUM Fifty members shall constitute a quorum unless the total membership is less than one hundred, and then a simple majority of members shall constitute a quorum.
ARTICLE VII BOARD OF DIRECTORS SECTION 1: MEMBERSHIP There shall be sixteen (16) voting members on the Board. These members shall be: 1. Voting: President, President-Elect (or Past President), NCTM Representative, Recording Secretary, Treasurer, Government Relations Representative, six (6) Level Representatives (Early Childhood, Intermediate Level Elementary, Middle School, High School, College Level Representative, and Member-at-large) and four (4) regional representatives (Western, Southern, Eastern, Central). 2. Other Board Members could include: Executive Director, Pre-Service Coordinator, Math Month Coordinator, Mathalon Coordinator, Nominations and Elections Coordinator, Membership Coordinator, Awards Coordinator, New Teacher Resources Coordinator, Conference chair(s), Web Liaison, Newsletter Editor, Banner Editor, Historian, MAST Liaison, MSDE Representative, and Treasurer-Elect.
SECTION 2: ELIGIBILITY Members of MCTM shall be eligible to hold a Board position. Nominees for the position of Level Representative must be involved in teaching or supervision at the educational level designation of their office. No member of MCTM may hold more than one elected office concurrently.
SECTION 3: NOMINATIONS AND ELECTIONS The Nomination and Election Committee shall present a choice ballot of nominations of officers to be elected each spring. This ballot shall be presented to the entire membership prior to the Annual Meeting. The results of the election shall be announced at the Annual Meeting, and they shall also be published.
SECTION 4: VACANCIES If a vacancy occurs in any office, the President shall appoint an MCTM member to fill the office. A member so chosen shall serve for the remainder of the term and be eligible for succession.
SECTION 5: DUTIES The Board shall have general supervision of the activities of MCTM, shall authorize the expenditure or investment of funds, shall set the amount of dues for MCTM membership, shall approve the planning for the Annual Meeting, shall establish standing committees as specified in the By-Laws and ad hoc committees as needed, shall make recommendations to the general membership, and shall take care of all related business which has not been provided for by any other means.
ARTICLE VIII PARLIAMENTARY AUTHORITY The rules contained in Robert’s Rules of Order shall govern MCTM in all cases to which they are applicable and in which they are not inconsistent with the MCTM Constitution and By-Laws.
ARTICLE IX AFFILIATED GROUPS Any organized group of teachers of mathematics, or any organized group of individuals interested in the teaching of mathematics or related disciplines may petition the Board to become affiliated with MCTM. The Board shall specify the conditions under which such affiliation shall take place. An affiliate group shall be entitled to send one non-voting delegate to each MCTM Board meeting.
ARTICLE X AMENDMENTS SECTION 1: TO CONSTITUTION A resolution for an amendment to the Constitution may be introduced by petition of fifty (50) members of MCTM or by a majority vote of the Board of Directors. The resolution shall be publicized, and distributed to the membership at least twenty (20) calendar days prior to the voting, which must take place at a general meeting. An affirmative vote by two-thirds of the members present is required to adopt the resolution.
SECTION 2: TO BY-LAWS By-Laws, consistent with the Constitution, shall be maintained by the Board of Directors. A resolution for an amendment to the By-Laws may be introduced by petition of fifty (50) members of MCTM or by a majority vote of the Board of Directors. The resolution shall be publicized and distributed to the membership at least twenty (20) days prior to the voting, which must take place at a general meeting. An affirmative vote by two-thirds of the members present is required to adopt the resolution.
SECTION 3: EFFECTIVE DATE Unless otherwise stated in the resolution, all amendments shall take effect immediately upon adoption.
ARTICLE XI DISSOLUTION If at any time MCTM shall cease to carry out the purposes herein stated, all assets and property held by it, whether in trust or otherwise, shall, after payment of its liabilities, be paid over to an organization, selected by the final Board of Directors of MCTM, which has similar purposes and has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1986 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs.

ARTICLE I MEMBERSHIP SECTION 1: MEMBERS The members of MCTM shall consist of all persons who have paid the applicable membership fee: a.Regular Member: Dues as set by the Board of Directors b.Student Member: Dues as set by the Board of Directors c.Life Member: Schedule of dues as set by the Board of Directors d.Distinguished Life Member: Dues shall be waived e.Senior Citizen Member: Dues as set by the Board of Directors f.Institutional Member: Dues as set by the Board of Directors
SECTION 2: TERM The MCTM membership year shall be one calendar year from the date of membership anniversary.
SECTION 3: BENEFITS Membership entitles a person to proof of membership, receipt of MCTM publications, the right to vote in MCTM general elections, eligibility for MCTM Outstanding Teacher Awards, eligibility for election to the Board of Directors, discounted rate for MCTM Annual Conference, and all other benefits of MCTM.
ARTICLE II REGIONS SECTION 1: DEFINITION OF REGIONS 1.Eastern Region: Caroline County, Cecil County, Dorchester County, Kent County, Queen Anne’s County, Somerset County, Talbot County, Wicomico County, Worcester County. 2.Central Region: Baltimore City, Baltimore County, Harford County, Howard County, Montgomery County. 3.Western Region: Allegany County, Carroll County, Frederick County, Garrett County, Washington County. 4.Southern Region: Anne Arundel County, Calvert County, Charles County, Prince George’s County, St. Mary’s County.
SECTION 2: REGIONAL AFFILIATION Individual regional affiliation will be determined by place of employment.
ARTICLE III OFFICERS SECTION 0: GENERAL RESPONSIBILITIES 1.All members of the MCTM Board of Directors are expected to perform the following duties throughout the length of their term… a.Web Updates – Board members are expected to make regular updates to the MCTM website as appropriate. b.Banneker Banner and Newsletter – Board members are expected to make/facilitate contributions to the MCTM newsletter (at least once per year) and Banneker Banner (at least once per term). c.Conference Duties – Board members are expected to volunteer for at least one MCTM Annual conference committee per term and attend all MCTM Annual Conferences during their term of service. d.Teacher Award Nominations – Board members are expected to nominate at least one teacher for an MCTM outstanding teacher award during each year of the their term of service. e.Board Nominations – Board members are expected to actively seek candidates for vacant Board positions throughout their term of service.
SECTION 1: PRESIDENT-ELECT 1.Qualifications: A member to be eligible for the office of President-Elect must have served as a voting member on the MCTM Board of Directors. 2.Term of Office: The President-Elect shall be elected, beginning with the 2022 election cycle, to a four-year term of office. This person shall serve the first year as President-Elect, the second and third years as President, and the fourth year as Past President. 3.Responsibilities: The President-Elect shall: a.Assume the duties of the President in the absence of the President b.Serve as a voting member on the Board of Directors c.Serve on the Executive Committee d.Perform other duties as requested by the President
SECTION 2: PRESIDENT 1.Qualifications: The President shall assume office upon completion of a one-year term as President-Elect and a member of NCTM. 2.Term of Office: The President shall serve a two-year term of office as President. 3.Responsibilities: The President shall: a.Serve as a voting member of the Board of Directors b.Serve as Chair of the Executive Committee c.Preside at all sessions of MCTM and the Board of Directors d.Provide leadership at all affairs of MCTM e.Encourage cooperation between MCTM and other groups of similar interest and objectives f.Appoint all committees and committee chairs, except those provided by motion or specified to be appointed in some other manner g.Appoint MCTM members to complete the term of vacant positions on the Board, as needed. h.Perform all duties as assigned by the Board of Directors i.Prepare an Annual Report of activities completed for the membership at the end of each year and submit it in writing to the Executive Director within one month following the Annual Conference
SECTION 3: PAST PRESIDENT 1.Qualifications: The Past President shall assume office upon completion of a two-year term as President. 2.Term of Office: The Past President shall serve a one-year term of office. 3.Responsibilities: The Past President shall: a.Assume the duties of the President in the absence of the President b.Serve as a voting member of the Board of Directors c.Serve on the following committees: (1) Executive Committee (2) Constitution and By-Laws Revision Committee (chair) d.Serve in an advisory capacity to the Board e.Perform other duties as requested by the Board
SECTION 4: NCTM REPRESENTATIVE 1.Qualifications: A member to be eligible for the nomination of NCTM Representative must be a member of both MCTM and NCTM and must have served in an elected or appointed position on the Board. 2.Term of Office: The NCTM Representative, whose election cycle begins with the 2022 elections, shall serve a three-year term of office and may serve only two consecutive terms. 3.Responsibilities: The NCTM Representative shall: a.Serve as a voting member on the Board of Directors b.Act as a Liaison between MCTM and NCTM, by staying in close contact with the NCTM Eastern Region 2 Representative and other NCTM officers and committee members. c.Represent MCTM as a delegate at the Delegate Assembly of NCTM at the NCTM Annual Meeting and Exposition. d.Facilitate the development of MCTM proposed resolutions to the NCTM Affiliate Service Committee. e.Serve as member of the MCTM Membership Committee f.Promote membership in NCTM g.Advertise NCTM activities h.Ensure that NCTM educational materials are available to the members at the meetings of MCTM
SECTION 5: EXECUTIVE DIRECTOR 1.Qualifications: A member to be eligible for the office of Executive Director must: a.Have a working knowledge of MCTM b.Have organizational skills c.Be proficient with a computer, word processing and database programs 2.Term of Office: The Executive Director is appointed by the Board for a term to be renewed annually in May upon the invitation of the Board and the acceptance of the Executive Director. 3.Other Considerations: The Executive Director shall be paid a yearly honorarium set by the Board of Directors and will be provided with necessary office equipment and supplies to use for MCTM transactions during the term of office. 4.Responsibilities: The Executive Director shall: a.Serve as an ex officio, non-voting member on the Board of Directors b.Serve as a member of the Executive Committee, the Grants and Scholarships Committee, and the Membership Committee c.Keep a file of all records and reports submitted by each committee and officer d.Keep a file of all current MCTM publications, including The Banneker Banner, all newsletters, and all general correspondence Keep an ongoing record of MCTM membership e.Obtain and maintain an MCTM bulk mailing permit f.Coordinate all bulk mailing g.Arrange for the Treasurer to be bonded to an amount equal to the anticipated funds for the fiscal year h.Assist the Treasurer in preparing the Internal Revenue Service (IRS) Report i.Prepare for the incoming President the NCTM report of the change of officers (This report should be prepared within one week after the Annual Fall Conference)
SECTION 6: RECORDING SECRETARY 1.Qualifications: A member to be eligible for the office of Recording Secretary must: a.Have a working knowledge of MCTM b.Have organizational skills c.Be proficient with a computer and word processing program 2.Term of Office: The Recording Secretary, whose election cycle begins with the 2022 elections, shall be elected to a three-year term of office. A Recording Secretary may serve only two consecutive terms of office. 3.Responsibilities: The Recording Secretary shall: a.Serve as a voting member on the Board of Directors b.Serve as a member of the Executive Committee c.Prepare and distribute the minutes of the Board of Directors and of the Executive Board d.Prepare minutes of the Annual Meeting
SECTION 7: TREASURER-ELECT 1.Qualifications: A member to be eligible for the office of Treasurer-Elect must: a.Have a working knowledge of fiscal matters and budget tracking b.Have organizational skills c.Have proficiency with a computer and a spreadsheet program. 2. Term of Office: The Treasurer-Elect, whose election cycle begins with the 2023 elections, shall be elected every third year to a one-year term of office. After the one-year term as Treasurer-Elect, this person shall serve as treasurer for three years. 3.Responsibilities: The Treasurer-Elect shall: a.Serve as a non-voting member on the Board of Directors b.Become knowledgeable of the finances of the organization c.Assist the treasurer in his/her duties
SECTION 8: TREASURER 1.Qualifications: A member to be eligible for the office of Treasurer must: a.Have a working knowledge of fiscal matters and budget tracking b.Have organizational skills c.Have proficiency with a computer and a spreadsheet program. 2.Term of Office: The Treasurer shall assume office upon completion of a one-year term as Treasurer-Elect. The Treasurer shall serve a three-year term of office. A Treasurer may serve at most two terms of office. 3.Other Considerations: The Treasurer shall be bonded. 4.Responsibilities: The Treasurer shall: a.Serve as a voting member of the Board of Directors b.Receive and keep account of all money c.Pay out money when duly authorized by the President and/or the Board of Directors d.Monitor incurred expenses and expenditures e.Prepare the Annual Treasurer’s Report f.Prepare the Internal Revenue Service (IRS) Report with the assistance of the Executive Director g.Present a proposed budget to the Board of Directors in September, and upon their approval, at the Annual Meeting h.Serve as a member of the Executive Committee i.Provide information to the Audit Committee as requested.
SECTION 9: MSDE REPRESENTATIVE 1.Conditions: The Office of Mathematics of the Maryland State Department of Education (MSDE) will be requested to name one representative of the office to serve on the MCTM Board of Directors. 2.Term of Office: The MSDE Representative shall be appointed at the time of the Annual Conference by the MSDE Office of Mathematics to a one-year term, which may be renewed. 3.Responsibilities: The MSDE Representative shall: a.Serve as an ex officio, non-voting member on the Board of Directors b.Act as a liaison between MSDE and MCTM, by keeping the MCTM Board of Directors informed of mathematical movements within the state c.Be an advocate of MCTM and of MCTM related activities
SECTION 10: GOVERNMENT RELATIONS REPRESENTATIVE 1.Qualifications: A member to be eligible for the office of Government Relations Representative must: a.Have a working knowledge of MCTM b.Have organizational skills c.Have a working knowledge of state and federal government agencies 2.Term of Office: The Government Relations Representative, whose election cycle begins with the 2011 elections, shall serve a three-year term of office, and may serve only two consecutive terms. 3.Responsibilities: The Government Relations Representative shall: a.Serve as a voting member on the Board of Directors b.Communicate information from the NCTM Government Relations Representative c.Stay abreast of critical mathematics issues on the federal and state levels, and make these issues known to the MCTM members d.Present the views of MCTM to state and federal elected officials
SECTION 11: LEVEL REPRESENTATIVES 1.There shall be six (6) Level Representatives: a.Early Childhood (Prekindergarten - 2nd Grade) b.Intermediate (3rd - 5th Grades) c.Middle School (6th-8th Grades) d.High School (9th-12th Grades) e.College Level (Post-Secondary) f.Member-at-large 2.Qualifications: A member to be eligible for the Office of Level Representative shall: a.Be employed as a mathematics educator at the level to which the member is nominated b.Be knowledgeable of the trends and issues at the given level 3.Term of Office: The Level Representatives shall be elected to a three-year term, and may serve only two consecutive terms. Level Representatives shall be elected according to the following schedule: a.(cycle beginning with 2011 elections): High School Level Representative and Member-at-large b.(cycle beginning with 2012 elections): Intermediate Level Representative and Middle School Level Representative c.(cycle beginning with 2013 elections): Early Childhood Level Representative and College Level Representative 4.Responsibilities: a.Serve as voting members on the Board of Directors b.Serve on the Professional Development Committee c.Act as a liaison between the level which they represent and the Board of Directors by: (1) Communicating with other educators in the same level (2) Representing the views of fellow educators to the Board of Directors (3) Informing educators of current mathematics trends, issues, and MCTM concerns (4) Serving on the corresponding level committee for the Annual Conference
SECTION 12: REGIONAL REPRESENTATIVES 1.Qualifications: A member to be eligible for the position of Regional Representative must: a.Have a working knowledge of MCTM b.Have organizational skills c.Be employed within the region which is represented d.Exhibit strong leadership characteristics 2.Term of Office: Each Regional Representative is elected for a three-year term of office, and may serve only two consecutive terms. The Regional Representatives are elected according to a staggard three-year term schedule, i.e. a.cycle beginning with 2011 elections): Eastern Shore Region Representative b.cycle beginning with 2012 elections): Southern Region Representative c.cycle beginning with 2013 elections): Central Region Representative and Western Region Representative 3.Responsibilities: Each Regional Representative shall: a.Serve as a voting member on the Board of Directors b. Serve on the Nominations Committee c.Serve on the Professional Development Committee d.Serve on the Grants and Scholarship Committee e.Organize meetings and activities for the region represented f.Serve as liaison between the region represented and the Board of Directors g.Define and organize a working group from the given region h.Promote membership in MCTM in the given region
SECTION 13: COACHING REPRESENTATIVE 1. Qualifications: A member to be eligible for the office of Coaching Representative shall: a. Be employed as a mathematics educator who provides coaching support to other mathematics educators b. Exhibit strong leadership characteristics c. Be knowledgeable of the trends and issues of mathematics education and coaching 2. Term of Office: The Coaching Representative is elected for a three-year term of office, and may serve only two consecutive terms. 3. Responsibilities: The Coaching Representative shall: a. Serve as a voting member on the Board of Directors b. Serve on the Professional Development Committee c. Organize meetings and activities for mathematics coaches d. Promote membership in MCTM among mathematics coaches and teachers with whom they work
SECTION 14: HISTORIAN 1.Qualifications: A member to be eligible for the office of Historian must: a.Have working knowledge of MCTM b.Have organizational skills c.Have a sense and love of history 2.Term of Office: The Historian shall be appointed at the time of the Annual Conference by the Board of Directors for a one-year term, which may be renewed. 3.Responsibilities: The Historian shall: a.Serve as a non-voting consultant to the Board of Directors b.Maintain close contact with the chairs of all MCTM committees
Section 15: WEBMASTER 1.Qualifications: A member to be eligible for the office of Webmaster must: a.Have working knowledge of MCTM b.Have organizational skills c.Have a working knowledge of basic web design 2.Term of Office: The Webmaster shall be appointed at the time of the Annual Conference by the Board of Directors for a one-year term, which may be renewed. 3.Responsibilities: The Webmaster shall: a.Serve as a non-voting consultant to the Board of Directors b.Maintain close contact with the chairs of all MCTM committees to ensure that the MCTM web site is updated with important dates, news, and information c.Serve as the chair of the publicity committee
ARTICLE IV COMMITTEES SECTION 1: EXECUTIVE COMMITTEE 1. Members: The Executive Committee shall consist of five (5) voting members and the Executive Director. These members are: a. President b. President Elect or Past President c. Recording Secretary d. Treasurer e. Executive Director (non-voting) f. One (1) other board member, elected by the Board of Directors by secret ballot 2. Responsibilities: a. Attend to administrative duties and management of MCTM b. Submit to the Executive Director a copy of all correspondence c. Submit to the Treasurer in advance of the September meeting a proposed MCTM budget for the upcoming year.
SECTION 2: NOMINATION AND ELECTIONS COMMITTEE 1. Members: The Nomination and Elections Committee shall consist of five (5) members: a. A member of MCTM appointed by the President to serve as Chair b. The four Region Representatives 2. Responsibilities: The Nomination and Elections Committee shall: a. Solicit from the MCTM membership the names of persons qualified for the MCTM positions that are open for nomination b. Prepare a slate for a choice election, with a ballot consisting of a goal of at least two names for each office c. Present the proposed slate to the Board of Directors at the May meeting, and, upon their approval to the general membership d. Manage and conduct elections as stated in ARTICLE V of the By-Laws In preparing the slate of nominations for the elections, the Nominations and Elections Committee shall give consideration to racial and sexual equity; and to regional, LEA, AIMS, IHE, and parochial school representation.
SECTION 3: AWARDS COMMITTEE 1. Members: The Awards Committee shall consist of at least seven (7) members: The Awards Committee shall consist of a chair, the six level representatives, and other interested MCTM members. 2. Responsibilities: The Awards Committee shall: a. Seek nominations for the outstanding mathematics teachers and an outstanding mathematics educator b. Make the selections of the persons to receive the MCTM awards c. Submit to the treasurer by May 31 a committee budget for the following fiscal year d. Submit a written summary report of activities completed to the Executive Director within one month after the Annual Conference
SECTION 4: CONFERENCE COMMITTEE This Committee will consist of the General Chair or Co-Chairs and component committees chairpersons. The General Chair/Co-Chairs will coordinate the activities of all of the component committees created for the conference. The General Chair/Co-Chairs will have a Shadow Chair(s) who will assume the leadership of the committee in the following year. 1. PROGRAM COMPONENT OF THE CONFERENCE COMMITTEE a. Members: The Program Component of the Conference Committee shall consist of a minimum of seven (7) members: (1) The Chair or Co-Chairs of the Conference Committee (2) Six (6) other persons (other than chair) chosen to represent each of the six (6) instructional levels. b. Responsibilities: The Program Component of the Conference Committee shall: (1) Develop and manage the program for Annual Conference (2) Prepare, distribute, and summarize evaluation forms (3) Submit a summary report in writing to the Executive Director within one month after the Annual Conference (This report shall be coordinated with the report of the General Chair/Co-Chairs) 2. LOCAL ARRANGEMENTS COMPONENT OF THE CONFERENCE COMMITTEE a. Members: The Local Arrangements Component of the Conference Committee shall consist of at least six (6) members: (1) The Chair or Co-Chairs of the Conference Committee (3) A minimum of four (4) other persons selected by the chair b. Responsibilities: The Local Arrangements Component of the Conference Committee shall: (1) Make all local arrangements for the Annual Conference (2) Arrange for sponsors and exhibits (3) Prepare specific publicity presentations for the MCTM Publicity Committee to distribute (4) Submit a summary report in writing to the Executive Director within one month after the Annual Conference (This report shall be coordinated with the report of the Program and Registration Components.) 3. REGISTRATION COMPONENT OF THE CONFERENCE COMMITTEE a. Members: The Registration Component of the Conference Committee shall consist of the MCTM Executive Director (chair) and a minimum of five (5) additional members selected by the chair. b. Responsibilities: The Registration Component of the Conference Committee shall: (1) Handle all registration for the conference (2) Prepare nametags for MCTM Board members, program presenters and presiders, and all registered participants (3) Submit a summary report in writing to the Executive Director within one month after the Annual Conference (This report shall be coordinated with the report of the Program and Local Arrangement Components.) SECTION 5: AUDIT COMMITTEE 1. Members: The Audit Committee shall consist of three (3) persons appointed by the Board of Directors. These persons shall not be members of the Board of Directors. 2. Responsibilities: The Audit Committee shall: a. Examine all financial records and submit a documented statement to the Board of Directors b. Make recommendations to the Board of Directors regarding budgetary procedures c. Submit a summary report in writing to the Executive Director within one month after the Annual Conference SECTION 6: PUBLICATIONS COMMITTEE 1. Members: The Publications Committee shall consist of a minimum of seven (7) members: a. Chair, appointed by the Board of Directors b. Banneker Banner Editor, Newsletter Editor, Webmaster, Historian, Government Relations Representative, Mathalon Chair, and New Teacher Resource 2. Responsibilities: The Publications Committee shall: a. Make recommendations to the Board of Directors for publications to be published by MCTM b. Coordinate publications of MCTM c. Advise president on the selection and appointment the editors of all publications d. Oversee all MCTM publications, and do the final editing of such documents e. Submit a timeline for all MCTM publications f. Solicit ads for the publications g. Submit to the Board by the February/March meeting plans of action, including cost estimates, for the publications for the following fiscal year SECTION 7: MEMBERSHIP COMMITTEE 1. Members: The Membership Committee shall consist of six (6) members: a. Chair, appointed by the President b. Executive Director c. NCTM Representative d. Member at Large e. Awards Chair f. Nominations Chair 2.Responsibilities: The Membership Committee shall: a. Generate a system to solicit members for MCTM and NCTM b. Use a data base of MCTM and NCTM membership as a recruiting tool c. Interact with the Executive Director regarding member recruitment d. Submit a written summary report of activities completed to the Executive Director within one month after the Annual Conference SECTION 8: CONSTITUTION AND BY-LAW REVISION COMMITTEE The Constitution and By-Law Revision Committee shall function in years when there is a Past President, and in other years if needed. If it is necessary for this committee to function in a year when there is not a Past President, then the President or a recent Past President will chair the committee. 1. Members: The Constitution and By-Laws Revision Committee shall consist of at least three (3) members: a. The Past President, Chair b. At least two other members to be appointed by the Board of Directors 2. Responsibilities: The Constitution and By-Laws Revision Committee shall: a. Review the MCTM organizational structure b. Seek input to determine if changes are needed in the Constitution and By-Laws c. Develop needed Constitution and By-Laws revisions d. Submit revisions to the Board of Directors and the membership, as stated in the MCTM Constitution SECTION 9: GRANTS AND SCHOLARSHIP COMMITTEE 1. Members: The Grants and Scholarship Committee shall consist of at least five (5) members: a. Past President or President Elect, chair b. Executive Director c. Membership Committee Chair d. At least one level representative e. At least one region representative 2. Responsibilities: The Grants and Scholarship Committee shall: a. Administer the process for applying for and awarding grants or scholarships from MCTM b. Solicit applications for grants and scholarships SECTION 10: PROFESSIONAL DEVELOPMENT COMMITTEE 1. Members: The Professional Development Committee shall consist of at least five (13) members that include: a. President b. Executive Director c. All Level Representatives d. All Region Representatives e. MSDE Representative f. Any other interested MCTM member 2. Responsibilities: The Professional Development Committee shall: a. Develop and implement an annual professional development plan that aligns to the MCTM mission b. Develop and update a long-range professional development plan that advances the MCTM mission
ARTICLE V ELECTIONS The annual election shall be a choice election with the goal of at least two nominees for each position on the ballot. The election shall be made by ballot, in conjunction with the fall membership renewal and the Annual Meeting. Official ballots of all officers to be elected shall be provided to the general membership by August 15. Along with the ballot shall be sent a brief statement, prepared by the candidate, of the candidate’s qualifications for office. Marked ballots shall be returned to the Executive Director to be held until the time of the official count. The MCTM President, the chair of the Nominations and Elections Committee, and the Executive Director shall have the joint responsibility of making the official count within ten days of the close of the election, and of reporting the results to the Board of Directors prior to the Annual Meeting. The official count is the responsibility of the Executive Director, the MCTM President, and the chair of the Nominations and Elections Committee. The Executive Director shall report the results to the Board of Directors. Should one of those named to do the counting be a candidate for office, the President shall appoint a member of the Board of Directors who is not a candidate to serve as a replacement for the count. In the event of a tie for an office, a secret ballot to break the tie will be used among all of the voting members of the Board of Directors. Prior to the Annual Meeting, the members of the Nominations and Elections Committee shall have the responsibility of confidentially informing each candidate of the election results for the office for which that candidate had been nominated. The results of the election shall be announced by the President at the Annual Meeting. All those elected in the Annual Election shall assume the duties of their respective offices immediately following the Business Meeting at the Annual Conference. The MCTM revised its election cycle in an effort to strengthen the Board of Directors, to add stability to the works of the Board of Directors, and to advance the leadership development of its Board of Directors so that the mission of the MCTM can be effectively administered. The revised election cycle can best be articulated in the following table (term lengths are in parenthesis);

(3) Coaching Rep (3) ARTICLE VI EXPENSE REIMBURSEMENTS Board of Directors and Committee members shall be reimbursed for personal expenses incurred for MCTM business. These expenses may include, but not be limited to, travel, telephone, postage, and office supplies. All reimbursement requests submitted to MCTM shall be accompanied by an MCTM requisition form, with expense documentation. Regarding travel and lodging, the following shall be accepted: 1. Subject to budget allocations, approved travel of one way distances greater than 50 miles by Board members or others designated by the Board of Directors, shall be reimbursed at the Maryland State rate. 2. One night’s lodging and one meal shall be reimbursed for Board members in attendance at Board meetings if their one way travel distance exceeds 150 miles (with the exception of the Annual Conference). The Board member should request the government rate for the lodging; the meal will be reimbursed at the state rate. 3. Expenses of Board members and other MCTM members (travel/lodging) connected with the Annual Conference shall not be reimbursed. 4. Expenses for a meeting where overnight lodging is required shall be reimbursed for a person who has been appointed by the Board of Directors to represent MCTM at that meeting.
ARTICLE VII SUPPORT OF CANDIDATES FOR NCTM BOARD When an MCTM member is a candidate for election to any NCTM position, MCTM shall: 1. Encourage member support through announcements and information in all MCTM publications 2. Introduce the candidate at the Annual Conference, if possible, and urge all MCTM members to vote 3. Contact MCTM affiliate groups and ask them to support the candidate through their publications and by announcements at meetings 4. Ask other NCTM affiliate groups to encourage support from their members 5. Indicate a willingness to sponsor a special mailing in support of a candidate
